Terms of Sale

1. Applicability These terms apply to all sales made by Modifine (Singapore) Pte Ltd ("Seller"), whether or not specifically mentioned in other documents. Any terms from the Buyer that differ from these will only apply if accepted in writing by the Seller. Delivery, acceptance of payment, or performance of services does not imply agreement to the Buyer’s terms. 2. Contract Formation A sale is only confirmed when the Seller issues a written order confirmation. In cases where such confirmations are not standard or requested, the Seller’s invoice will serve as the binding agreement. 3. Price Changes Unless stated as fixed, all quoted prices are subject to change in the event of unexpected cost increases. If government actions affect pricing, the Seller reserves the right to cancel the order if no fair adjustment can be agreed upon. 4. Ownership of Documents All materials shared by the Seller—including drawings, data sheets, and brochures—are for reference only unless clearly defined as binding. These materials remain the intellectual property of the Seller and cannot be shared with third parties without written consent. 5. Delivery Timeline Delivery schedules begin once all technical and order details are confirmed and payment terms are met. Partial shipments are allowed. If external factors delay dispatch, notification of goods being ready will be deemed as on-time delivery. If the Buyer requests a delay, they may be charged for storage and handling. Delays beyond one month may also incur a 1% monthly interest on the unpaid contract amount. Delays due to force majeure are excluded. 6. Risk and Liability Responsibility transfers to the Buyer upon collection by their carrier or delivery, whichever occurs first. The Seller’s liability is limited to the value of the goods or services supplied. The Seller is not responsible for any indirect or consequential damages resulting from delivery delays, product defects, or service performance. 7. Force Majeure The Seller shall not be held liable for delays caused by events beyond their control, including but not limited to natural disasters, strikes, equipment failures, or regulatory restrictions. In such events, the Seller will notify the Buyer and be exempt from affected obligations for the duration of the disruption. 8. Credit Terms If the Buyer fails to pay on time or if their credit standing becomes unsatisfactory, the Seller may suspend deliveries or cancel the contract. The Seller may also request advance payment or security for future transactions. 9. Retention of Title Goods remain the property of the Seller until full payment is received. If the goods are processed or combined with other materials, the Seller may retain a proportional ownership of the new product. The Buyer must clearly indicate that these items are held on behalf of the Seller and may resell them only under normal business operations, with proceeds owed to the Seller. 10. Warranty The Seller only guarantees that the goods or services conform to the agreed specifications. No other warranties—express or implied — apply. Warranty covers manufacturing defects only, not normal wear and tear, and is valid for up to 12 months (or 6 months for multi-shift usage) from the start of use. Buyer must inspect goods or services upon delivery and report any issues in writing within 30 days. If valid, the Seller may repair, replace, or refund at their discretion, provided all contract terms, especially payment, have been met. 11. Order Cancellation Orders may not be cancelled without the Seller’s prior written consent. If cancellation is approved, the Buyer must reimburse all costs incurred. A minimum cancellation fee of 30% of the order value or the down payment (whichever is higher) will apply. 12. Small Order Surcharge To help cover handling and processing costs, a surcharge of USD 50.00 will apply to orders with a total value below USD 500.00. This charge ensures we maintain the same standard of service and efficiency, regardless of order size. 13. Governing Law This agreement is governed by and interpreted according to the laws of the Republic of Singapore. 14. Severability If any part of this contract is found to be invalid or unenforceable, the remaining terms shall remain in effect. If changes in law render any term invalid, both parties will seek a fair replacement. If no agreement is reached, the Seller may choose to continue or terminate the contract by written notice.
